The Legal Counsel will report to the General Counsel and Corporate Secretary. This pivotal role involves negotiating crucial contracts, offering legal guidance, and supporting corporate governance to ensure seamless and compliant operations.
The main responsibilities are:
Contract Management
- Prepare, review, and negotiate contracts with external partners and suppliers.
- Collaborate with multiple departments to address legal requirements and concerns.
Legal Advice and Compliance
- Provide legal advice and guidance to internal clients.
- Assist in developing and implementing internal policies and procedures.
- Conduct regular audits and provide training on legal issues and best practices.
- Coordinate with external legal counsel on specialized legal matters.
- Identify and mitigate potential legal risks associated with business operations.
Corporate Governance
- Assist the General Counsel and Corporate Secretary with corporate governance matters such as drafting resolutions, annual corporate filings, and other requirements.
Assume all related responsibilities.
COMPETENCY PROFILE AND MINIMUM REQUIREMENTS
Education/Experience/Certification
- B degree from an accredited Canadian law school.
- Minimum of 5 years of experience in corporate law, contract negotiation, and legal compliance with a mid to large private law firm
- Experience in the satellite and/or telecommunications industry is an asset.
- Experience in contract negotiation.
- Membership in the Barreau du Québec.
Other qualifications
- Strong drafting skills.
- Bilingual proficiency in English and French.
- Proficiency in conducting legal research and staying updated on changes in law.
